Terms & Conditions

Last updated: September 7, 2026

These Terms & Conditions ("Terms") govern your use of Lead Level, a service operated by Baygrade LLC ("Lead Level," "we," "us," or "our").

By using Lead Level, participating in a referral relationship, sending or receiving a referral, communicating through Lead Level, or using any payment or payout feature, you agree to these Terms.

1. What Lead Level Does

Lead Level helps businesses establish ongoing referral relationships and pass business opportunities to companies that may be better suited to handle them.

Lead Level may facilitate:

Lead Level is not a contractor, subcontractor, broker of construction services, employer, joint venturer, design professional, or guarantor of any participating business.

2. Eligibility and Business Use

Lead Level is intended for adult users acting for legitimate businesses. You represent that you are authorized to act on behalf of the business you register or represent.

You are responsible for providing accurate and current information regarding your business, contact details, services, service area, and referral activity.

3. Referral Relationships

Lead Level may pair participating businesses based on trade, service area, project size, capabilities, or other relevant factors.

Referral relationships are intended to facilitate repeat business handoffs, but neither party is required to accept any particular referral.

Unless expressly agreed otherwise, referral relationships are non-exclusive.

Either business may request a different referral partner at any time. Lead Level may also modify, pause, or end a pairing in its discretion.

Changing or ending a referral relationship does not eliminate payment obligations associated with referrals made before the change.

4. Referrals

A "Referral" means a business opportunity introduced, transmitted, identified, or facilitated through Lead Level by one participating business to another.

A Referral may include:

Referrals may be transmitted through SMS, email, the Lead Level website, telephone, or other supported communication methods.

5. No Guarantee of Lead Quality or Work

Lead Level does not guarantee that any Referral will result in customer contact, a quote, a contract, scheduled work, completed work, revenue, profit, or payment.

Lead Level does not independently guarantee the accuracy, legitimacy, completeness, scope, value, timing, or suitability of any Referral.

Each receiving business is solely responsible for deciding whether to pursue, quote, accept, schedule, perform, or decline referred work.

6. Standard Referral Fee

Unless a different fee is agreed in writing for a specific referral or referral relationship, the standard referral fee is:

6% of Collected Revenue attributable to the referred work.

Under the standard structure:

Lead Level may apply a platform-fee cap, reduced rate, special pricing, or other fee structure for unusually large projects, particular referral relationships, or specific programs. Any applicable exception should be disclosed before or in connection with the applicable referral.

7. Collected Revenue

"Collected Revenue" means amounts actually received by the receiving business from the referred customer for the referred work.

Unless otherwise agreed, Collected Revenue excludes:

8. When a Referral Fee Is Earned

A referral fee is earned when:

Unless otherwise agreed, referral fees are based on collected revenue rather than quoted, contracted, scheduled, invoiced, or projected revenue.

9. Payment Processing Costs

Payment processing, banking, ACH, card, wire, transfer, payout, chargeback, or similar transaction costs associated with collecting or distributing a referral fee may be deducted from the referral fee before final distribution.

Unless otherwise stated, such transaction costs will be allocated proportionally between the referring business and Lead Level based on their respective shares of the referral fee.

Under the standard 5% / 1% allocation, the referring business bears five-sixths of such transaction costs and Lead Level bears one-sixth.

Lead Level may require or encourage lower-cost payment methods such as ACH for referral-fee payments.

10. Referral Fee Invoicing and Collection

The receiving business agrees to accurately report when referred work is completed and when payment is collected.

Lead Level may invoice or otherwise collect the referral fee after the receiving business collects payment from the referred customer.

Lead Level may use third-party payment processors to collect referral fees and facilitate payouts.

11. Referral Payouts

After Lead Level receives the applicable referral fee and the payment clears, the referring business becomes eligible for its referral payout.

Referral payouts may be delayed, reduced, reversed, or withheld where reasonably necessary due to:

Payout timing may depend on banks, payment processors, verification requirements, and other third-party systems.

12. Status Updates and Reporting

Participating businesses agree to provide reasonable and truthful updates concerning referred opportunities.

Lead Level may request information such as whether a Referral is:

Lead Level may send automated or manual follow-up messages regarding referral status, payment status, or payout status.

Users may not intentionally conceal, misstate, or materially underreport revenue attributable to a Referral.

13. Direct Communication

Referral partners may communicate directly with each other and with referred customers.

Lead Level may relay human-written messages between referral partners through SMS or other communication systems.

Direct communication does not eliminate a valid referral-fee obligation.

Users acknowledge that messages appearing in a referral-partner SMS thread may be transmitted through Lead Level-owned or Lead Level-managed telephone numbers and communication systems, even when the message itself was written by the other participating business.

14. Circumvention

Users may build direct and ongoing relationships with referral partners and referred customers.

However, users may not intentionally bypass Lead Level for the purpose of avoiding referral fees that are already due or reasonably attributable to Referrals originating through Lead Level.

Ending a referral relationship, switching referral partners, or communicating outside Lead Level does not eliminate referral fees associated with prior Referrals.

15. Follow-On and Related Work

Unless otherwise agreed, a referral fee may apply to work that is substantially related to the originally referred project, customer request, or opportunity.

Lead Level may establish reasonable attribution rules for repeat or follow-on work where necessary.

Lead Level does not intend to claim indefinite fees on unrelated future work solely because two businesses were previously introduced through Lead Level.

16. Referral Disputes

Lead Level may review disputes involving:

In reviewing a dispute, Lead Level may consider available messages, project information, payment records, invoices, customer communications, referral history, and other relevant evidence.

Lead Level may also consider the receiving business's responsibility for estimating, financing, performing, warranting, and collecting the work, as well as the referring business's role in originating the opportunity.

No party is guaranteed that Lead Level will decide a dispute in its favor. Lead Level may determine that either party's position is more reasonable, may reach a compromise for administrative purposes, or may decline to resolve the dispute if the available information is insufficient.

Any determination made by Lead Level is an administrative decision for purposes of operating the service. It is not a legal judgment, arbitration award, or determination of the parties' legal rights outside Lead Level.

If a referral relationship is no longer productive, either business may request a different partner regardless of the outcome of a particular dispute.

17. Customer Information

A referring business is responsible for having a lawful basis to share customer or prospect information with Lead Level and the receiving business.

Users should share only information reasonably necessary to facilitate a referral.

Users may not submit highly sensitive personal information unless reasonably necessary and legally permitted.

18. SMS Messaging Terms

Lead Level may provide SMS-based communication between participating businesses. Messages may include human-written messages relayed between referral partners, automated referral notifications, status requests, payment and payout updates, account notifications, and support communications.

Some messages may be generated or sent automatically based on referral activity, account status, scheduled follow-ups, or other events within Lead Level. Automated system messages may be identified as originating from Lead Level.

Message frequency varies depending on your referral activity, conversations, account activity, and use of the service.

By separately opting in to Lead Level SMS communications, you consent to receive recurring SMS messages at the mobile number you provide. Consent to receive SMS messages is not a condition of purchasing goods or services or otherwise using portions of Lead Level that do not require SMS.

Message and data rates may apply.

You may opt out of SMS communications at any time by replying STOP. You may reply HELP for assistance or contact Lead Level at support@leadlevel.net.

Opting out of SMS may prevent or limit your ability to use features that rely on SMS-based referral communications, but it does not by itself terminate your Lead Level account or eliminate obligations relating to existing referrals.

Wireless carriers are not responsible for delayed or undelivered messages.

Mobile numbers, SMS opt-in information, and SMS consent will not be sold or shared with third parties or affiliates for their independent marketing or promotional purposes. Information may still be shared with service providers as necessary to operate Lead Level and deliver the messaging service.

19. Licensing, Insurance, and Qualifications

Each participating business is solely responsible for maintaining all licenses, registrations, insurance, permits, certifications, and legal authority required for its work.

Lead Level does not guarantee that a participating business is licensed, insured, qualified, financially capable, reputable, or appropriate for any particular project unless expressly stated otherwise.

20. Responsibility for Work Performed

The receiving business is solely responsible for all aspects of work it accepts, including:

Lead Level is not responsible for workmanship, delays, defects, injuries, property damage, nonpayment, contract disputes, or other events arising from services performed by participating businesses.

21. Independent Businesses

Participating businesses remain independent businesses.

Nothing in these Terms creates an employment relationship, partnership, franchise, agency, joint venture, subcontract, fiduciary relationship, or similar relationship between:

22. Nonpayment

Failure to pay referral fees when due may result in suspension or termination of access to Lead Level.

Lead Level may pursue unpaid amounts and may recover reasonable collection costs where permitted by law.

23. Suspension and Termination

Lead Level may suspend, restrict, or terminate a user's access for reasons including:

Termination does not eliminate referral fees or other obligations that arose before termination.

24. Service Availability

Lead Level may modify, suspend, discontinue, or change features of the service at any time.

We do not guarantee uninterrupted availability of the website, SMS service, payment systems, or other functionality.

25. Intellectual Property

Lead Level, its branding, software, website, content, graphics, documentation, and related materials are owned by Baygrade LLC or its licensors.

You may not copy, reproduce, distribute, or commercially exploit Lead Level materials except as permitted by law or with our permission.

26. Disclaimers

Lead Level is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Lead Level disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and any warranty that use of the service will produce a particular business result.

27. Limitation of Liability

To the fullest extent permitted by law, Lead Level and Baygrade LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business, lost opportunities, loss of data, reputational harm, or business interruption.

To the fullest extent permitted by law, the aggregate liability of Lead Level and Baygrade LLC arising from the service will not exceed the amount of platform fees actually paid to Lead Level by the affected user during the six months preceding the event giving rise to the claim.

28. Indemnification

You agree to indemnify and hold harmless Baygrade LLC, Lead Level, and their owners, employees, contractors, and agents from claims, liabilities, damages, losses, costs, and expenses arising from:

29. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

30. Changes to These Terms

We may update these Terms from time to time.

Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of Lead Level after updated Terms become effective constitutes acceptance of the revised Terms.

31. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

32. Entire Agreement

These Terms, together with the Lead Level Privacy Policy and any specific written referral or pricing terms, constitute the agreement governing use of Lead Level.
